Terms of Service

1. WHO WE ARE; ACCEPTANCE OF THESE TERMS

1.1 AI Pizza (the "Service") is an online subscription service available at aipizza.app, operated by Blackbox Global Limited, a company incorporated in the Republic of Seychelles ("we", "us", "the Operator"). "AI Pizza" is a brand and trademark of the Operator; it is not itself a legal entity.

1.2 By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms of Service (the "Terms"), including the Special Conditions in Section 11, and by the risk and data notices presented inside the Service. If you do not agree, do not use the Service.

1.3 These Terms form the entire agreement between you and the Operator regarding the Service and supersede any prior understanding relating to it.

2. WHAT THE SERVICE IS

2.1 The Service is a read-only market-information tool. It displays quantitative screens, rankings, scores, charts, macro indicators and hypothetical historical simulations computed by fixed, deterministic formulas over publicly available market data for exchange-listed equities in the United States, Hong Kong and Taiwan.

2.2 The Service does not execute trades, hold or transmit client money or securities, connect to any brokerage account, or provide any facility for dealing in investments. It is not a trading platform, broker, dealer, exchange, fund, or investment manager.

2.3 All outputs are generated mechanically from the same published rule set for every subscriber. Nothing in the Service is prepared with reference to your personal circumstances, objectives, or financial situation.

3. NO INVESTMENT ADVICE; NO ADVISORY RELATIONSHIP

3.1 Nothing in the Service — including screens, rankings, scores, momentum lists, simulated portfolio cycles, exported files, documentation, or any other output — constitutes investment advice, a recommendation, an offer, or a solicitation to buy, sell, hold or otherwise deal in any security or other financial product.

3.2 The Operator is not licensed or registered with the Hong Kong Securities and Futures Commission, the U.S. Securities and Exchange Commission, the Taiwan Financial Supervisory Commission, or any other financial regulator, and does not carry on any regulated activity for you. The Service is an information service only. No advisor–client, fiduciary, or similar relationship is created by your use of the Service.

3.3 Quantitative rankings are statistical descriptions of historical market data. A high or low rank is not a statement that any security is suitable for you or likely to rise or fall. You should obtain advice from an advisor licensed in your jurisdiction before making any investment decision.

4. ALGORITHMIC OUTPUTS AND HYPOTHETICAL PERFORMANCE

4.1 The Service's rankings and simulations are produced by predefined algorithms. Algorithms embody design choices and assumptions that may prove wrong; they can and do produce unprofitable outputs, and their behaviour in past data does not establish how they will behave in the future.

4.2 Simulation results shown in the Service are hypothetical. They are computed retrospectively on historical data, with simplified assumptions about execution prices, transaction costs, liquidity and order fills, and are subject to known methodological limitations — including survivorship bias in the historical universe and data-vendor errors and revisions. Hypothetical results do not represent actual trading, tend to overstate achievable returns, and do not predict future results.

4.3 Where the Service labels an output "pending", "live" or "this cycle", that label describes the state of the simulation calendar only; it is not a signal to act.

5. ALGORITHMIC AND AI-ASSISTED CONTENT AND TOOLS

5.1 Outputs of the Service are generated by automated quantitative systems, and portions of the Service — including computed content, documentation and tooling — may be produced by or with the assistance of algorithmic or artificial intelligence ("AI") technologies. All such content and tools are provided on an "as is" basis for informational purposes only.

5.2 While we aim for automatically generated content to be accurate and relevant, we make no representation or warranty as to its completeness, accuracy, reliability or suitability for any purpose. Automatically generated content may be outdated, incomplete or wrong, and must not be relied on as the sole basis for any decision. You should verify any output independently and consider seeking professional advice before acting.

5.3 Every disclaimer in these Terms that applies to the Service and its content applies equally to any content produced by or with the assistance of algorithmic or AI technologies. The Operator accepts no responsibility or liability for any action taken in reliance on such content.

6. MARKET DATA AND THIRD-PARTY CONTENT

6.1 Market prices, volumes, fundamentals, macroeconomic series and analyst figures displayed in the Service are obtained from third-party public sources (including Yahoo Finance, EOD Historical Data (EODHD) and the FRED database of the Federal Reserve Bank of St. Louis). Such content belongs to its respective providers and is reproduced for display only; the Operator does not verify and does not endorse it.

6.2 Data is displayed at daily (end-of-session) resolution and refreshed on a batch schedule. It is not real-time, may be delayed, incomplete, erroneous, or subsequently revised by the source, and must not be relied on as current for trading purposes.

6.3 The Operator may change data sources, and may add, suspend or remove markets, tickers, fields or features at any time.

7. ELIGIBILITY AND ACCOUNTS

7.1 You must be at least 18 years old and legally capable of entering a contract to use the Service.

7.2 You must register with accurate information and keep your credentials confidential. You are responsible for all activity under your account. Accounts are personal: one account per person, and credential sharing is not permitted.

7.3 We may refuse, suspend or close an account that we reasonably believe breaches these Terms or presents a security, legal or abuse risk.

8. LEGAL RESTRICTIONS; YOUR LOCAL LAW

8.1 The Operator is incorporated offshore and the Service is made available to a global audience over the public internet. Laws governing market information, subscriptions and investment-related content differ from country to country. It is your sole responsibility to inform yourself about, and to comply with, every law, regulation and directive applicable in your country of residence or the place from which you access the Service, including any tax, exchange-control, data-protection or securities rules that apply to you.

8.2 The fact that the Service is accessible from a given place does not mean that using it, or subscribing to it, is lawful there. If the use of the Service, or any part of it, is restricted or unlawful where you are, you must not use it, and any use is at your own risk and expense.

8.3 The Service and these Terms do not constitute, and must not be used for, an offer or solicitation in any jurisdiction where such an offer or solicitation is not authorised, or to any person to whom it would be unlawful to make it. The Operator makes no representation that the Service is appropriate or available for use in any particular jurisdiction, and may restrict availability in any jurisdiction at its discretion.

8.4 By using the Service you represent that your use complies with the laws that apply to you. You — and not the Operator — bear all consequences of any failure to comply.

9. SUBSCRIPTIONS, BILLING, CANCELLATION AND REFUNDS

9.1 Access to data pages requires a paid subscription or an access grant issued by the Operator. Current plans and prices are shown on the pricing page before purchase. Payment is processed by Stripe; the Operator does not store your card details. Charges may be collected by the Operator or by an affiliate of the Operator acting as its collection entity (your card statement may show that affiliate's name); this does not change who provides the Service or your rights under these Terms.

9.2 Subscriptions renew automatically at the end of each billing period until cancelled. By subscribing you acknowledge and consent to automatic renewal and to your payment method being charged at the start of each renewed period. You can cancel auto-renewal at any time via the Stripe customer portal linked in the Service; cancellation takes effect at the end of the current paid period, which you retain access through.

9.3 Prices may change. Changes apply from your next renewal and we will give you reasonable advance notice, in which case you may cancel before the renewal takes effect. Where a plan is described as price-locked (e.g. a founding plan), the lock applies while that subscription remains continuously active.

9.4 Refunds: fees are non-refundable except where a refund is required by applicable law, and no refunds are given for partial billing periods or unused access. The Operator may in its sole discretion grant pro-rata or goodwill refunds; doing so in one case creates no entitlement in any other. By subscribing you consent to receiving immediate access to the Service and acknowledge that, to the extent permitted by law, any statutory withdrawal right lapses on delivery.

9.5 Taxes, foreign-exchange charges and bank fees associated with your payment are your responsibility unless the law requires otherwise. Where you are independently required to account for any tax on your subscription to your local authorities, that is solely your responsibility.

10. ACCEPTABLE USE

10.1 The Service is licensed to you for personal, non-commercial use. You must not:

  • redistribute, republish, resell, or make the Service or its outputs available to any third party, whether free or paid — including signal services, newsletters, chat groups, advisory services, or data feeds;
  • scrape, crawl, bulk-download, or access the Service by robot, script or automated means, or circumvent rate limits or access controls;
  • reverse-engineer, decompile, or attempt to extract the Service's formulas, source code, or datasets;
  • use the outputs to train, fine-tune, or evaluate machine learning models, or to build a competing product;
  • share accounts or resell access grants;
  • use the Service in any unlawful way or in breach of securities, market-conduct, or data-protection law.

10.2 Brief quotations of individual outputs for personal, non-promotional discussion are permitted provided they are attributed and not presented as advice.

11. SPECIAL CONDITIONS — WEEKLY STRATEGY LISTS AND SIMULATIONS

11.1 These special conditions (the "Special Conditions") apply to the Service's strategy-derived features — including the Weekly Momentum Leaders lists, simulated portfolio cycles, and any other feature that presents the output of a predefined quantitative strategy (together, the "Strategy Lists"). The Special Conditions form an integral part of these Terms and prevail over any other provision of these Terms to the extent of a conflict.

11.2 The Strategy Lists are produced by a fixed quantitative model that systematically analyses historical market data. They are provided for general informational purposes only; they are not investment, legal, tax or accounting advice, do not constitute a recommendation to buy or sell any security, and do not express any view of the Operator about any security or about you. The Operator is not a licensed securities dealer, broker, investment adviser or investment bank. You alone assume full responsibility for any investment made in reliance on any Strategy List, and we urge you to consult a licensed professional first.

11.3 Figures shown for Strategy Lists are derived from backtested historical data and do not represent actual investments. In addition to the general limitations in Section 4, you acknowledge that: backtested results assume that modelled trades could actually have been executed at modelled prices with adequate liquidity, which may not have been true; assumptions formed in hindsight may not capture real trading conditions, fees, cash flows or market impact; backtests can be tuned until past results look favourable, so live results may differ materially; underlying third-party data may be inaccurate or incomplete; and model biases cannot be fully eliminated. Any investment based on a Strategy List can lose money, including the entire amount invested.

11.4 You must not store, reproduce, display, transmit or distribute any Strategy List content except as allowed by Section 10.

12. INTELLECTUAL PROPERTY

12.1 The Service — including its software, design, formulas, documentation, branding, and the selection and arrangement of displayed information — is owned by the Operator or its licensors and is protected by copyright, trademark and other laws. "AI Pizza" and "AI Fondue" and the associated logos are trademarks of the Operator. These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose while your subscription is active.

12.2 Third-party marks and data remain the property of their owners (Section 6). No rights are granted in them.

13. YOUR CONTENT AND PERSONAL DATA

13.1 Personal organisation features (tags, personal lists) store the labels you enter against your account so the Service can display them back to you. You retain any rights in that content and grant us the licence needed to store and display it to you.

13.2 We process the personal data needed to operate the Service — account email, authentication and session records, subscription state, and operational logs — as described in our Privacy Policy. We do not sell personal data.

14. AVAILABILITY, CHANGES AND TERMINATION

14.1 The Service is provided without any commitment to uninterrupted availability. Maintenance, data-source outages, and engineering changes may make the Service partly or wholly unavailable from time to time.

14.2 We may modify or discontinue features or the whole Service. If we discontinue the whole Service permanently, we will refund the unused pro-rata portion of any prepaid subscription period, and this shall be the sole remedy for discontinuation.

14.3 We may suspend or terminate your access for material breach of these Terms (including Sections 8, 10 and 11.4). In that case no refund is due for the remaining period, to the extent permitted by law.

15. FORCE MAJEURE

15.1 The Operator is not liable for any failure or delay of the Service, or in performing its obligations under these Terms, caused by circumstances beyond its reasonable control. Such circumstances include, without limitation: natural disasters; epidemics; war, hostilities, riot or civil unrest; acts of government, regulators or other authorities; labour disturbances; power, internet, hosting, or telecommunications failures; failures of data vendors, payment processors or other suppliers; cyber-attacks and other security incidents beyond reasonable control; and damage to or failure of equipment or software — including your own device, connection or software.

16. TECHNICAL PROBLEMS

16.1 The internet and computer systems are generally reliable but not fault-free. Technical problems — in networks, servers, browsers, upstream data feeds, or your own equipment — may delay, corrupt or prevent access to some or all of the Service, and may cause displayed data or calculations to be unavailable, stale or wrong. Neither the Operator nor its shareholders, directors, officers, employees, agents or service providers is responsible for any inability to access or use the Service, or for any loss arising from technical faults, where caused by matters beyond its reasonable control.

16.2 If you become aware of a material data or calculation error, please report it to the contact address in Section 24; we will investigate on a reasonable-efforts basis.

17. RISK WARNING

17.1 Investing in equities involves significant risk, including the possible loss of the entire amount invested. Prices can be volatile; smaller-capitalisation and foreign-market securities can carry additional liquidity, currency and regulatory risks. Concentrated portfolios of the kind illustrated by the Service's simulations have historically experienced large drawdowns.

17.2 You alone are responsible for your investment decisions and for the consequences of acting on anything you saw in the Service.

18. DISCLAIMER OF WARRANTIES

18.1 The Service and all its content are provided "as is" and "as available", without warranty of any kind, express or implied — including any implied warranty of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, or non-infringement. Calculations may contain errors. Where law does not permit the exclusion of a warranty, it is limited to the minimum scope and period permitted.

19. LIMITATION OF LIABILITY

19.1 To the maximum extent permitted by law, the Operator shall not be liable for any trading or investment losses, loss of profit, loss of data, or any indirect, incidental, special, consequential or punitive damages arising out of or in connection with the Service, however caused and on any theory of liability, even if advised of the possibility.

19.2 To the maximum extent permitted by law, the Operator's total aggregate liability for all claims relating to the Service is limited to the subscription fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

19.3 Nothing in these Terms excludes liability that cannot be excluded by applicable law, including liability for fraud.

20. INDEMNIFICATION

20.1 You will indemnify and hold the Operator harmless from claims, losses and reasonable costs (including legal fees) arising from your breach of these Terms (including the representations in Section 8) or your unlawful use of the Service, except to the extent caused by the Operator's own breach.

21. CHANGES TO THESE TERMS

21.1 We may amend these Terms. Material changes will be notified inside the Service or by email at least fourteen (14) days before they take effect; continued use after the effective date constitutes acceptance. The current version and its effective date are always shown at the top of this page.

22. GOVERNING LAW AND DISPUTES

22.1 These Terms are governed by the laws of the Republic of Seychelles, without regard to conflict-of-law rules, and this applies wherever you reside or use the Service. You agree not to bring claims against the Operator under the laws of another jurisdiction.

22.2 Disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the Republic of Seychelles, and proceedings shall be conducted in English. Where permitted, claims must be brought within one year of the events giving rise to them and on an individual (non-class) basis.

23. MISCELLANEOUS

23.1 If any provision of these Terms is held unenforceable, the remainder continues in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or a successor of the Service. Headings are for convenience only. Where a translation of these Terms is provided, the English version prevails.
